The Company is seeking a Vice President and General Counsel to serve as its chief legal adviser, leading a range of corporate legal and commercial contract matters. The successful candidate will be responsible for corporate transactions, including M&A, and will manage a small legal department, providing counsel to management on legal implications and ensuring legal compliance in all company activities. This role requires a strategic thinker with the ability to work independently, solve problems creatively, and prioritize effectively. The Vice President and General Counsel will also be involved in developing and implementing policies to protect the company's assets and ensure compliance with international, local, state, and federal laws and regulations. Candidates for this position should have a J.D. or LL.B. degree and at least 15 years of legal experience in corporate law, with a strong emphasis on contracts and mergers and acquisitions. The role demands a professional with a broad knowledge of the legal field, including corporate and labor law, and the ability to negotiate complex legal issues. The ideal candidate will have a strong focus on M&A, be capable of leading all elements of transactions, and possess the human relations skills necessary to manage a legal team. Experience in a Quality Management System and a working knowledge of health, safety, quality, and environmental management systems are also required. The Vice President and General Counsel will be accountable for the company's HSQE management system and the Delegation of Authority process, and will integrate with the broader legal team across the enterprise as needed.
